These Terms of Service ("Terms") govern your access to and use of the supplyshield.id website and related services (collectively, the "Services") provided by J.L. Barnes Company LLC, doing business as SupplyShield ("SupplyShield," "we," "us"). By accessing or using the Services, you agree to be bound by these Terms.
Use of the website
The supplyshield.id website is provided for informational purposes about SupplyShield ID and related offerings. You may view, browse, and reference the content for legitimate business evaluation purposes. You may not use the Services to:
- Violate any applicable law or regulation
- Infringe the intellectual property or other rights of SupplyShield or any third party
- Attempt to gain unauthorized access to the Services or related systems
- Interfere with or disrupt the integrity or performance of the Services
- Scrape, copy, or systematically extract content for resale or competitive use
Commercial relationships
Use of SupplyShield filtration services, Verified Marketplace deals, the SupplyShield ID segment, or any other SupplyShield product is governed by separate written agreements between SupplyShield and the relevant party (or between SupplyShield's distribution partners and their customers). These Terms do not by themselves grant you any license to access or use any SupplyShield product.
Intellectual property
All content on supplyshield.id, including text, graphics, logos, the SupplyShield name and shield mark, the SupplyShield ID name, design elements, and underlying methodology, is owned by J.L. Barnes Company LLC or its licensors and protected by copyright, trademark, and other intellectual property laws. No content may be reproduced, modified, distributed, or used for derivative works without prior written permission.
No warranty
THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. SUPPLYSHIELD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SUPPLYSHIELD AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
Indemnification
You agree to defend, indemnify, and hold harmless SupplyShield from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms or your misuse of the Services.
Third-party links and services
The Services may reference or link to third-party websites, products, or services (including those of our distribution partners). SupplyShield does not control and is not responsible for the content, terms, or practices of any third party.
Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. The provisions of these Terms that by their nature should survive termination will do so, including provisions on intellectual property, no warranty, limitation of liability, indemnification, and governing law.
Governing law and disputes
These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-law provisions. Any dispute arising out of or related to these Terms or the Services shall be resolved exclusively in the state courts located in Clay County, Missouri, or the United States District Court for the Western District of Missouri, and you consent to the personal jurisdiction of those courts.
Changes to these Terms
We may modify these Terms from time to time. The "Last Updated" date reflects the most recent revision. Continued use of the Services after a change indicates your acceptance of the updated Terms.
